Who you are contracting with

Top5.nz is a service of The Click Lab Limited, 10 Kura Place, Torbay, Auckland 0630, New Zealand. NZBN 9429033559803. GST number 096-455-895.

Where these terms say "we" or "us", they mean The Click Lab Limited. Where they say "you", they mean the business buying the subscription and the person accepting these terms on its behalf. By subscribing you confirm you are authorised to bind that business.

Rankings are not part of what you are buying

This is the most important clause on the page, so it comes first.

Your ranking position is earned from public review data using our published method. It is not for sale, it is not affected by whether you subscribe, and no part of your payment buys, protects, or improves it. A subscription changes how your business is represented on a page it already ranks on. It does not change where it ranks.

Consequences you are agreeing to, which we would rather state plainly than bury:

• Your position can fall at any time, including immediately after you subscribe.
• Your business can drop out of the listed results entirely, or stop appearing in a category or location, if the data supports that.
• We may exclude a business from a category where the evidence does not support listing it there, and that exclusion applies to subscribers on the same basis as everyone else.
• None of the above entitles you to a refund, a credit, or compensation. See Refunds.

We make no representation about the traffic, enquiries, leads, or revenue a listing will generate, and nothing on the site or in our emails should be read as a forecast of any of those.

What the subscription includes

A current subscription for a business location adds a website link on your ranking cards, a public profile page, the ability to submit a description in your own words and to tell us which parts of your service to highlight, and access to the analytics in your business dashboard.

Verification is free and separate. It adds the verified badge, your phone number on your ranking card, and a small trust adjustment in the score. You do not have to pay for any of that.

We may add, change, or remove subscription features. If we remove something significant during a paid period, tell us and we will deal with it under Refunds.

Price, GST and payment

Prices shown on the site are in New Zealand dollars and include GST, so the figure you see is the amount charged to your card. The subscription is $199 a year plus GST, which is $228.85 a year in total. If your business is registered for GST you can claim the GST portion back in the normal way.

A subscription covers one business location. Payment is taken by Stripe, and we do not receive or store your full card details. Your tax invoice comes from Stripe and carries our GST number.

The rate you subscribe at stays with you for as long as the subscription runs without interruption. If we raise the price later, existing subscriptions keep the older rate. If you cancel and come back, you rejoin at the rate current at that time.

Renewal and cancellation

Subscriptions run for twelve months and renew automatically unless you cancel. You can cancel at any time from the billing portal in your dashboard, without contacting us and without giving a reason.

Cancelling stops the next renewal. It does not end the period you have already paid for: your subscription features stay live until that period ends, and then stop. Your profile content is kept rather than deleted, so resubscribing later restores the page rather than starting it again.

What you submit to us

You are responsible for the accuracy of anything you submit, including your business details, your own description, and any highlights you ask us to consider. You confirm you have the right to provide it and that it is not misleading.

You give us permission to publish what you submit on Top5.nz. We review owner-submitted content before it appears and may decline or remove anything inaccurate, misleading, promotional in a way that misrepresents the business, or that disparages another business.

Our editorial summaries, rankings, scores, and analysis remain ours. Subscribing does not give you approval rights over how we describe your business, and we do not publish owner copy in place of our own assessment.

Acceptable use

Do not attempt to manipulate the ranking data. That includes buying, incentivising, or fabricating reviews, and it includes submitting false information to us. Where we find it, we may exclude the business from the site and cancel the subscription without a refund.

Do not scrape, republish, or resell our rankings, scores, or editorial content. Do not misrepresent a Top5.nz position, for example by claiming a rank you do not hold or implying we endorse you. Badges we provide may be used while the ranking they describe is current.

Suspension and termination

We may suspend or end a subscription for a breach of these terms, for a chargeback, or where we are required to. If we end it for a reason that is not your breach, we refund the unused part of the period. If we end it for your breach, we do not.

Availability and data

We do not guarantee the site is available without interruption. Rankings are rebuilt on a rotating crawl, so the data on a page reflects the date shown on it rather than the current moment.

Review counts, ratings, and business details come from public sources and may contain errors we did not introduce. Tell us about an error and we will correct it where we can.

Liability

The subscription is supplied to you for the purposes of a business. Under section 43 of the Consumer Guarantees Act 1993 and section 5D of the Fair Trading Act 1986, you and we agree that those Acts do not apply, and both of us accept that this is fair and reasonable given the nature of the service and the price.

We are not liable for indirect or consequential loss, or for lost profits, lost revenue, lost enquiries, or loss of goodwill, however caused.

Where we are liable despite the above, our total liability for all claims relating to a subscription is limited to the amount you paid us for that subscription in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

Changes to these terms

We may change these terms. The current version is always published at this URL with its effective date at the top. If we make a change that materially reduces what you get, we will tell subscribers by email before it takes effect, and you can cancel and receive a refund of the unused part of the period.

Governing law

These terms are governed by New Zealand law, and the New Zealand courts have exclusive jurisdiction.
